Terms of Use

1) Publishing galleries and projects

Saal Digital UK Limited allows users to upload image files to galleries. Furthermore, projects designed with image files can be uploaded or saved. Users have the option to release galleries and/or projects publicly or protected by a password, making them publicly or partially publicly accessible for third parties on the Internet. It is also possible to enable galleries and projects for sale.

There is no entitlement to use. Saal Digital reserves the right, without stating reasons, to reverse the publication of or to delete individual galleries, projects, or individual images at any time.

2) Granting of rights

By publishing a gallery or a project, the user grants Saal Digital the rights to make the image files accessible via the internet, to transmit and broadcast them. By enabling them for sale, the user additionally grants the rights to reproduce the image files, to produce prints or similar image products, and to sell such products/images.

3) Intellectual property

The user warrants that they are the rights holder for images in published and/or galleries released for sale and that these images are not protected by trademarks, patents, or copyrights of third parties.

If images depict identifiable persons, the user is obliged to obtain valid and binding model releases from all affected parties, which are substantially similar to Saal Digital’s own model release and which grant the types of usage envisaged in this agreement for such content. The user shall keep the original release and provide Saal Digital with a copy upon request.

If images depict recognizable buildings or identifiable property where the owner's identity can reasonably be established, the user agrees to obtain a valid and binding property release, which is substantially similar to Saal Digital’s property release, insofar as such a release is required by the owner to permit the full use, including commercial use of the content. The user shall keep the original release and provide Saal Digital with a copy upon request.

4) Compensation

Saal Digital commits to payouts within 30 days after the end of each month in which a sale took place. The payment is calculated from the net amount without shipping costs. The currently valid conditions are displayed in the user’s account.

4a) Self-Billing and Tax Compliance

By accepting these Terms of Use / Terms and Conditions, the user expressly agrees to the application of the self-billing procedure (Gutschriftverfahren/procedura di autofatturazione/autofacturación/autofacturation) in accordance with applicable VAT laws, including EU Directive 2010/45/EU.

The user expressly authorises Saal Digital to issue invoices and/or credit notes on the user’s behalf and for the user’s account for any payments arising from image product sales made via the Saal Digital Photo Portal. This agreement on self-billing constitutes a written agreement between the parties as required by applicable tax authorities.

Users undertake not to issue separate invoices to Saal Digital for such payments and agree to notify Saal Digital immediately and in writing of any change to their VAT registration, tax status, or other relevant fiscal circumstances.

For users resident in any Member State of the European Union, the user expressly acknowledges and agrees that, notwithstanding the self-billing procedure, they remain solely and fully responsible for all tax and fiscal compliance obligations under the laws of their country of residence or establishment, including but not limited to:

(a) the creation, formatting, submission, and reporting of invoices in any required electronic format (including XML, UBL, or other structured data formats) to the relevant tax authorities or designated electronic invoicing systems;
(b) compliance with electronic invoicing mandates, real-time reporting requirements (such as SAF‑T, SII, or equivalent systems), and any clearance, continuous transaction control, or post-audit mechanisms required by applicable law;
(c) all VAT or sales tax reporting, filing, declaration, and payment obligations;
(d) statutory record‑keeping, retention, and archiving requirements; and
(e) any other fiscal, regulatory, or compliance obligations arising under applicable EU or national law.

Saal Digital assumes no responsibility or liability for the user’s compliance with electronic invoicing requirements, tax reporting obligations, or any other fiscal duties under EU or national law. The user agrees to indemnify and hold Saal Digital harmless from and against any claims, penalties, fines, interest, costs, or damages arising from or related to the user’s failure to comply with applicable tax or fiscal laws in their jurisdiction. This indemnification obligation shall survive termination of the contractual relationship.

The user confirms that they have obtained, or will obtain, appropriate professional tax advice regarding their obligations and will maintain compliance with all applicable requirements at their own expense.

4b) Currency and Exchange Rates (EU payouts; non‑euro countries)

In EU member states whose national currency is not the euro, all self‑billing documents are issued in EUR. Depending on the selected payout method, payments will be made either in EUR or in the destination currency. If a payout is made in EUR and the beneficiary account is not a EUR account, the recipient’s bank may convert the funds at its own exchange rate upon receipt; consequently, the credited amount in the account currency may differ from the estimated amount shown in the Saal Photo Portal and/or on billing. EUR figures on billing are authoritative; any non‑EUR figures are for information only.

4c) Service fee for digital downloads

For sales of digital downloads via the Saal Photo Portal, Saal Digital charges a service fee. The service fee is calculated as a percentage of the revenue generated from the sale of digital downloads.

The applicable service‑fee rates and their allocation to the respective Saal Prio plans are set out in the current price overview for the Saal Photo Portal, available at Saal Photo Portal Pricing. Details of how the service fee is calculated, in particular for product sets and upselling offers, are described in the Help Center under Service fee for downloads. Saal Digital is entitled to adjust these rates in the future. Changes to the service‑fee rates will be communicated to the user in text form (e.g. by e‑mail) in good time before they come into effect and will apply only to transactions processed thereafter. Saal Digital may make the continued use of the commercial functions of the Saal Photo Portal conditional upon the user’s express acceptance of the then‑current Terms of Use, including the amended service fee.

5) Liability

Saal Digital shall be liable for damages in the event of a breach of material contractual obligations, the absence of warranted characteristics and the customer’s claims under the Product Liability Act. Furthermore, Saal Digital shall only be liable for damages in cases of intent or gross negligence on the part of Saal Digital and its vicarious agents. Saal Digital is not liable for indirect, consequential or atypical damages of any kind. This also applies to the compensation of lost profit, lost possibility of use or intangible values.
